1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and MARC ("we", "our", or "us") governing your access to and use of the MARC email routing and management service ("Service").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Service.
These Terms are governed by the laws of England and Wales.
2. Description of Service
MARC provides an email routing and management platform that enables you to:
- Connect multiple AWS SES accounts
- Route emails across accounts with intelligent load balancing
- Monitor email delivery metrics and analytics
- Manage sending pools and campaigns
- Receive webhook notifications for email events
The Service acts as an intermediary between your application and your AWS SES accounts. You retain full ownership and control of your AWS accounts and email content.
3. Account Registration
To use the Service, you must:
- Be at least 18 years old or the age of majority in your jurisdiction
- Provide accurate, complete, and current registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorised use of your account
- Accept responsibility for all activities under your account
We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.
4. Acceptable Use
You agree not to use the Service to:
- Send unsolicited bulk email (spam)
- Send emails to purchased, rented, or harvested email lists
- Send content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Distribute malware, viruses, or other malicious code
- Engage in phishing or fraudulent activities
- Violate any applicable laws, including the Privacy and Electronic Communications Regulations 2003 (PECR)
- Infringe intellectual property rights of third parties
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorised access to our systems
- Resell or redistribute the Service without our written consent
We reserve the right to suspend or terminate your account immediately if we reasonably believe you have violated these acceptable use provisions.
5. Email Sending Requirements
You are responsible for ensuring that your email sending practices comply with:
- UK GDPR and Data Protection Act 2018
- Privacy and Electronic Communications Regulations 2003 (PECR)
- AWS Acceptable Use Policy
- CAN-SPAM Act (if sending to US recipients)
- Any other applicable anti-spam and data protection legislation
You must obtain proper consent before sending marketing emails and provide clear unsubscribe mechanisms in all commercial communications.
6. Fees and Payment
6.1 Subscription Fees: You agree to pay all fees associated with your chosen subscription plan. Fees are exclusive of VAT, which will be added where applicable.
6.2 Billing: Subscription fees are billed in advance on a monthly or annual basis. We will charge the payment method on file automatically.
6.3 Price Changes: We may change our fees upon 30 days' notice. Continued use after a price change constitutes acceptance of the new fees.
6.4 Refunds: Subscription fees are non-refundable except where required by law. You may cancel at any time, and your access will continue until the end of the current billing period.
6.5 AWS Costs: You are solely responsible for any AWS charges incurred through your connected SES accounts. MARC does not control or pay for your AWS usage.
7. Intellectual Property
7.1 Our Property: The Service, including its software, design, text, graphics, and other content, is owned by us and protected by copyright, trademark, and other intellectual property laws.
7.2 Your Content: You retain ownership of all content you submit through the Service. By using the Service, you grant us a limited licence to process your content solely to provide the Service.
7.3 Feedback: Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation to you.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may:
- Perform scheduled maintenance with reasonable notice
- Perform emergency maintenance without notice
- Experience downtime due to factors beyond our control
For customers on eligible plans, service level agreements (SLAs) may apply as specified in your subscription terms.
9. Limitation of Liability
To the maximum extent permitted by law:
9.1 The Service is provided "as is" without warranties of any kind, whether express, implied, or statutory.
9.2 We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
9.3 Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the fees paid by you in the 12 months preceding the claim.
9.4 Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content sent through your account
11. Termination
11.1 By You: You may terminate your account at any time through your account settings or by contacting support.
11.2 By Us: We may suspend or terminate your account immediately if you breach these Terms, or with 30 days' notice for any other reason.
11.3 Effect: Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our data retention policy.
12. Dispute Resolution
12.1 Governing Law: These Terms are governed by the laws of England and Wales.
12.2 Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12.3 Informal Resolution: Before initiating legal proceedings, you agree to contact us and attempt to resolve any dispute informally for at least 30 days.
13. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
14. General Provisions
14.1 Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
14.2 Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
14.3 Waiver: Our failure to enforce any right shall not constitute a waiver of that right.
14.4 Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
